These terms govern your use of decisive.finance (the "site"). By using the site, you agree to them. Decisive Finance is a trade name of Puget Sound CFO LLC, a Washington limited liability company ("we").
About the site
Decisive Finance publishes field notes, methodology documents, and engagement information for operating companies, $5M to $50M in revenue. The site is informational. It is not investment advice, legal advice, tax advice, or accounting advice.
Engagements
If you book a call and enter an engagement with Decisive Finance, the engagement is governed by a separate, signed engagement letter that supersedes these terms for that relationship. The guarantees described on the guarantee page are honored only when they are restated in the engagement letter you sign.
No warranty
Content on the site is provided as-is. We make no warranty that any approach described here will produce a specific result for your company. Every engagement is scoped to the company in front of us.
No reliance
Everything on the site is general information about how we work and how owner-led companies are run and sold. It is not advice about your company, and it is not a valuation, an appraisal, an audit, a review or any other attest service. Figures, ranges and examples are illustrative and may not fit your business. Content can go out of date, and we have no duty to update it. Do not act on anything here without advice from your own attorney, CPA and other advisers who know your facts. Reading the site, contacting us, booking a call or sending us information does not create an advisory or fiduciary relationship; only a signed engagement letter does.
We are not a broker or an investment adviser
Decisive Finance is not a broker-dealer, an M&A broker, a business broker or an investment adviser. We do not find buyers or sellers, market companies for sale, negotiate the terms of a transaction, or hold funds or securities for anyone. We take no piece of any transaction: no fee we charge is calculated from a transaction's price or terms, or payable only because a transaction closes. Nothing on the site is an offer to buy or sell, or a solicitation of an offer to buy or sell, any security or business.
Limitation of liability
To the fullest extent the law allows, Puget Sound CFO LLC and its people are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost business value or lost data, arising from the site or from your reliance on it, even if told such damages were possible. Our total liability for any claim arising from the site is limited to $100. Some states do not allow some of these limits, so they may not all apply to you. An engagement is governed by the liability terms of its signed engagement letter, not by this section.
Indemnity
You agree to defend and hold harmless Puget Sound CFO LLC and its people against any claim, loss or cost, including reasonable attorney fees, that arises from your misuse of the site or your breach of these terms.
Links to third parties
The site links to third-party tools (Calendly, Kit). We are not responsible for their content or policies. Your use of them is governed by their own terms.
Intellectual property
All content is © Decisive Finance unless otherwise noted. You may share and cite it with attribution. You may not republish it in full without permission.
Governing law
These terms are governed by the laws of the State of Washington. Before filing any claim about the site, you agree to send written notice to [email protected] and give us 30 days to resolve it informally. After that, any dispute about the site belongs in the state or federal courts located in King County, Washington.
Changes
We may update these terms. The "last updated" date above reflects the most recent change.
